Contractor Referral Agreement

1. Our role. District Roofing Solutions operates as a roofing enquiry, lead-generation and referral service. The contractor contracts directly with the customer and remains responsible for the roofing work.
2. Your responsibility. The contractor is responsible for inspection, scope, materials, technical solutions, pricing, quoting, contracting, licensing, insurance, workmanship, warranties and all services supplied. Application information is reviewed before approval.
3. Marketplace allocation. District matches qualified enquiries using service area, work type, roof/material specialisation, property preferences, capacity, lead time, compliance and other reasonable criteria. A suitable opportunity may be shown to more than one eligible approved contractor. While it remains available, the first valid eligible acceptance secures the opportunity exclusively; customer details are released only after successful assignment. Other acceptances fail safely once it is assigned.
4. Alerts and privacy. Matching contractors may receive operational email and, where enabled with consent, SMS/text alerts directing them to the secured Portal. Alerts contain only privacy-safe job information before assignment. Full homeowner name, exact address, phone and email are released only to the assigned contractor for the referred work.
5. Referral fee. District's Referral Fee is 5% of the Final Project Value excluding GST, plus GST on District's Referral Fee where required by law. The Referral Fee becomes earned and payable only once the referred job has been completed and the Contractor has received the customer's final payment. It is not earned or payable merely because a lead is supplied, an inspection occurs, a quote is issued, the customer accepts a quote or signs a contract, a deposit is received or a progress payment is received. If the customer pays in stages, District will not invoice the Referral Fee until the Contractor has received the final customer payment. This allows the Referral Fee to be calculated on the completed job value, including approved variations and additional work. There are no upfront fees or advertising costs charged by District.
6. Management and review. District may pause, withdraw or reallocate an opportunity, or place an account on Compliance Hold, Payment Hold or Performance Review, where reasonably necessary for customer requests, compliance, capacity, safety, fraud, system error, performance or other exceptional circumstances. Two separate substantiated material negative-feedback or complaint events, or three separate late District-invoice payment events, may lead to suspension, deactivation, removal or termination. District retains broader rights for serious misconduct, fraud, privacy misuse, safety or licensing issues. Historical records and accrued obligations remain preserved.
7. Review before activation. Submitting an application records digital acceptance of the Referral Agreement and the separate Portal/Marketplace Terms. It does not automatically approve the contractor to receive work.

1. Portal access is for approved District contractors only. Authentication credentials and sessions must not be shared or misused.
2. Use only the opportunities and information made available to your authorised account. Do not attempt to access another contractor's account, opportunity or customer information.
3. Before assignment, homeowner information must remain protected. Scraping, automated harvesting, circumvention, unauthorised access and misuse of customer information are prohibited.
4. Do not bypass or manipulate the first-valid-acceptance locking system, assignment controls or any other marketplace security control.
5. Keep profile, service-area, capacity, licence, compliance, payment and notification information accurate. Email and SMS opportunity alerts are optional and preferences remain updateable; SMS is sent only where current consent and the enabled preference exist.
6. District may modify, restrict, suspend or withdraw Portal or marketplace access where reasonably necessary. District does not guarantee any minimum number, frequency, conversion rate or value of opportunities.
7. Portal access does not create employment, agency, franchise, partnership, joint venture or exclusivity. Removal or deactivation does not cancel Referral Fees or other obligations already incurred.
